TRADE TERMS AND CONDITIONS

PAYMENT AND PRODUCTION
A 50% non-refundable deposit is required to initiate production, with the remaining 50% balance due prior to shipment. For orders under $5,000, full payment is required at confirmation. Orders cannot be cancelled once the deposit is received.
Modifications may be requested within 48 hours of deposit payment, subject to feasibility and any cost differences. Modification requests after 48 hours are subject to additional fees at the company's sole discretion based on production status and scope of change.
Orders will not ship until the final balance is received in full. If final payment is not received within 14 days of production completion, storage fees of $25 per day shall apply.
Estimated lead time is 3 to 6 weeks from deposit, subject to fabric availability and shipping conditions. Complex or high-volume custom orders typically require 4 to 6 weeks in production. If a selected fabric becomes unavailable after deposit, the client will be offered alternative fabric options of equal or greater value, or a full refund of the deposit.
Shipping and duties for collection-fabric orders are included in the invoiced price, covering delivery within the United States and Canada. For shipments outside the United States and Canada, contact trade@thoahome.com for a custom quote.
CLIENT RESPONSIBILITIES
The client is responsible for confirming all measurements, fabric selections, and specifications before production begins. Thoa Home does not provide installation services or hardware. Products are shipped ready to hang with hooks pre-installed; procurement of hardware and final installation is the client's responsibility.
CLIENT-OWN-MATERIAL (COM)
For COM orders, the client is responsible for providing suitable fabric in sufficient quantity (minimum 15% overage required; larger patterns may require more). The client is responsible for shipping COM fabric to the address provided at order confirmation, including any applicable import duties on that inbound shipment. Fabric must arrive before the assigned production slot to avoid delays.
Once production is complete, Thoa Home covers shipping and import duties on the finished product shipped to the client or designated receiver.
The company is not liable for fabric defects, insufficient yardage, or unsuitability of client-provided materials. COM processing fees ($300 base plus actual shipping costs based on current market fabric weight) apply as outlined in the quotation.
CLAIMS AND DISPUTES
Workmanship and Product Variations:
Natural variations in fabric color, weave, texture, and minor handcraft irregularities are inherent to custom-made products and are not considered defects. Dimension variances of 1" or less are within acceptable industry tolerance. The company is not responsible for color differences between digital images and physical products, natural fabric behavior (wrinkling, stretching, fading), or customer dissatisfaction with style or fabric choices.
No-CFA Policy:
To maintain production timelines and international logistics efficiency, Thoa Home does not provide Cuttings for Approval (CFAs). Client acknowledges that current fabric swatches are the primary reference for color and texture.
Submission Window:
Claims for production errors or workmanship must be submitted within 48 hours of delivery with photographic documentation. For orders delivered to a professional receiver or warehouse, inspection must occur within this same 48-hour window. The company is not responsible for errors in measurements, style selections, or fabric choices made by the client.
Transit Damage:
Claims for transit damage must be submitted within 48 hours of delivery with photos of packaging and product. The company will evaluate transit damage claims on a case-by-case basis but is not liable for damage, loss, or delays that occur during shipping.
TRADE PROGRAM AND DISCOUNTS
Trade discounts apply only to approved trade accounts and cannot be combined with retail promotions, site-wide sales, or clearance offers. Discount tiers are calculated based on a rolling 12-month paid order volume. Tier status is earned upon completion of spend; upgraded discounts apply to all subsequent orders. The company reserves the right to suspend or terminate trade accounts for non-payment, policy violations, or fraudulent activity.
LIABILITY AND LEGAL
Liability is limited strictly to the repair, replacement, or refund of the product sold, at the company's sole discretion, and shall not exceed the total amount paid for that product. The company shall not be liable for any incidental, indirect, or consequential damages, including project delays or loss of profit.
The company shall not be liable for any delay or failure to perform due to events beyond its reasonable control, including but not limited to natural disasters, strikes, acts of government, customs delays, or international transportation disruptions.
Seasonal Production Pauses:
Client acknowledges that the production atelier and material supply chains are subject to regional public holidays. Specifically, Lunar New Year (Tet) typically pauses production and logistics for 3 to 5 weeks between late January and mid-February. Thoa Home is not liable for project delays resulting from these scheduled annual closures or other regional holidays (including Labor Day and Golden Week).
Pricing and Currency:
All prices are quoted in USD. For international orders, the applicable exchange rate at the time of invoicing will apply. Quotations are valid for 30 days from the issue date.
Photography and Marketing:
The company may photograph completed installations for marketing purposes with 48 hours' advance notice via email. The client may opt out by replying to the notification. No client-identifying information will be shared without written permission.
GOVERNING LAW
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York. Should any provision be found unenforceable, the remaining provisions shall remain in full force and effect.
ACCEPTANCE
By placing an order, making a deposit payment, or confirming a quotation in writing, the client acknowledges they have read, understood, and agree to be bound by these Terms and Conditions in full.
