TERMS OF SERVICE

These Terms of Service (“Terms”) govern your use of thoahome.com (the “Site”) and any purchase made through the Site. This Site is operated by Thoa Home. Throughout the Site, the terms “we”, “us” and “our” refer to Thoa Home.

1. ONLINE STORE TERMS

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence. You may not use our Products for any illegal or unauthorized purpose. A breach or violation of any of the Terms will result in an immediate termination of your Services.

2. CUSTOM AND MADE-TO-ORDER SALES (THE "FINAL SALE" POLICY)

2.1 Bespoke Nature. All Products are manufactured to the Customer’s unique specifications.

2.2 NOTICE TO NEW YORK CONSUMERS: Pursuant to New York General Business Law § 218-a, Thoa Home maintains a "No Returns" policy. All sales are final and non-refundable upon payment. At our sole discretion, modification requests (e.g., measurement or color corrections) may be submitted within 48 hours of order confirmation, subject to feasibility and additional costs. This 48-hour window is for technical modifications only and does not grant a right to cancellation or refund.

2.3 Manufacturing Tolerances. As our Products are handcrafted, Customer acknowledges that final dimensions may vary by up to +/- 1 inch. Such variations are inherent to artisanal manufacturing and do not constitute a defect.

2.4 Material Integrity and Dye Lots. Natural variations in weave, texture, and color are expected. We cannot guarantee an exact color match between swatches and finished goods if ordered at different intervals due to dye lot fluctuations.

3. ACCURACY OF BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse any order you place with us. You agree to provide current, complete, and accurate purchase and account information for all purchases. You are responsible for maintaining the confidentiality of your account and password.

4. PRODUCTION, SHIPPING, AND RISK OF LOSS

4.1 Lead Times. Standard orders are estimated at 3–6 weeks. Bespoke Studio orders vary by complexity. These are estimates only; Thoa Home is not liable for delays outside of our direct control. Customer acknowledges that annual regional holidays (including Lunar New Year/Tet) typically pause production for 3–5 weeks between late January and mid-February.

4.2 Shipping and Duties. Thoa Home offers complimentary standard shipping on all orders within the United States and Canada, with all applicable import duties included in the purchase price. For shipping outside of the United States and Canada, Customer must contact us at hello@thoahome.com for a custom quote.

4.3 Force Majeure. Thoa Home shall not be held responsible for delays or failures in performance resulting from acts beyond our control, including but not limited to: port strikes, global logistics disruptions, or government regulations.

4.4 Transfer of Risk. Title and risk of loss pass to the Customer upon our delivery of the Products to the carrier. We recommend documenting any visible transit damage via photograph and contacting support@thoahome.com within 48 hours of receipt.

4.5 Refused and Abandoned Deliveries. Refusal to accept delivery does not constitute a cancellation and does not entitle Customer to a refund. Full terms governing refused or abandoned deliveries are set forth in our Return and Refund Policy, which is incorporated herein by reference.

5. LIMITED WARRANTY AND WORKMANSHIP CLAIMS

5.1 Warranty. We warrant our Products against workmanship defects for twelve (12) months from delivery under normal residential use.

5.2 Claims Window. Any claims for defects or workmanship errors present upon delivery must be submitted with photographic documentation within 48 hours of receipt. Failure to report within this window constitutes full acceptance of the product.

5.3 Exclusions. This warranty does not cover fading due to UV exposure, damage from improper installation, or discrepancies between digital screen representations and physical textiles.

6. INTELLECTUAL PROPERTY

The Site and its original content, features, and functionality (including but not limited to the Thoa Home name, logo, and "In Residence" editorial content) are and will remain the exclusive property of Thoa Home.

7. USER COMMENTS AND FEEDBACK

If you send us creative ideas or testimonials, you agree that we may, at any time, without restriction, edit, copy, publish, and distribute those comments in any medium.

8. ACCESSIBILITY (ADA COMPLIANCE)

9. LIMITATION OF LIABILITY

In no event shall Thoa Home, our directors, or artisans be liable for any injury, loss, claim, or any direct, indirect, incidental, or consequential damages of any kind, including lost profits, arising from your use of any of our Products. Our liability is limited to the purchase price of the Product.

10. DISPUTE RESOLUTION AND BINDING ARBITRATION

10.1 Mandatory Arbitration. Any dispute arising from these Terms shall be resolved via binding arbitration in New York, NY, conducted by the American Arbitration Association (AAA).

10.2 Class Action Waiver. You agree that any proceedings to resolve disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action.

11. GOVERNING LAW

These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of New York.
